Abstract
Following the economic development of recent years, the business of mergers and acquisitions of the two sides across the Taiwan Strait is growing sharply. In near future, we can predict that there will be more and more M&A between Taiwan and China. However, the vulnerable members of the corporation like minority stockholders and labors will face much risk in the money game. That is a serious issue. Certainly, based on the efficiency point of view, to find an equilibrium point between benefit of enterprise and interest of shareholders and labors is more difficult. Therefore, the infrastructure of this thesis is composed of literature analysis, including the legislation, cross-strait scholars journal papers, practical judgment and case study. The researchful objective is (1) Compare the difference of legal system in the two sides across the Taiwan Strait. (2) Evaluate the advantage of the M&A institution between Taiwan and China. (3) Investigate the deficiency according to case study. As a result, I look forward to dedicate some valuable essence of the proposal for the protection of the rights of shareholders and labors for mergers and acquisitions.
