Abstract
In the last few years, many public companies in Taiwan have encountered financial crisis. These crises usually are caused by (1) illegal involvement in the stock market by board members or high-rank managers or (2) illegal trading between related parties. These incidents, together with those infamous business scandals occurred in USA (e.g. the Enron event), have called tremendous attention to the issues of corporate governance.
Previous studies about corporate governance have focused on how corporate governance affects business performance. Very little has been said about the relationships between business characteristics and corporate governance. If this relationship can be established, people will then be able to predict the quality of corporate governance of a company by simply observing its basic characteristics. This research attempts to establish such a relationship.
Data from 104 public companies in Taiwan are collected for regression analysis. The results show that market value and degree of globalization positively related to the quality of corporate governance, while age of business, degree of specialization, degree of automation, market entry barrier, productivity, product uniqueness, growth potentials, endowed capacity of employee, and degree of environment uncertainty are negatively related to the quality of corporate governance.
