2012-08-012024-05-18https://scholars.lib.ntu.edu.tw/handle/123456789/698600摘要:本研究計畫採取動態的觀點,分析國內公司治理特性在不同的內、外部因素變動下,產生的影響。本研究第一項目的在於釐清台灣近年來在公司治理法制環境大幅變化的情況下,內部治理機制及其效率有何相對之影響。事實上文獻中不斷強調公司治理機制分為外部及內部,但彼此間有何整合效果卻少有研究提及甚至進行實証分析,因此本研究對相關議題的驗證無論在學術與實務上皆有其價值與必要性。本研究第二項目的在於分析台灣門檻企業由家族治理轉變為專業經理人治理的過程,及決定要素。事實上國外理論皆認為該轉變在組織發展過程中屬於必然,但該論點在華人企業的條件下是否仍然成立,頗受質疑。本研究在此主要貢獻在於釐清該項爭議,並且討論在華人企業的條件下,該轉變過程是由何因素及機制促成。本研究計畫收集台灣上市企業資料,進行1999到2008橫跨10年的追蹤資料分析,希望以此能夠對台灣及華人企業公司治理議題有更深入之了解。<br> Abstract: This research is aimed to ascertain how the movement of external and internal environmental conditions will impact on the efficiency of corproate governance. The first part of this project is to identify the movements of corproate govenrance laws and regulations in Taiwan and then to test how the changes of legal environment influce the local companies for their operation of internal govenrance mechanisms. In extant literature, the intergation of external and internal governance mechanims has been suggested but neglected in empirical test, our analysis would help to shed some lignts on this research issue. The second part of this project is to ascertain the determinants for the transformation of firm’s governance framework from family management to professional management. This issue has drawn great attention of management scholars, while little evidences exist to support the theoretical concept, particular the evidences from the context of emerging economies or Asian, Chinese society. We are planning to collect the data of public firm in Taiwan from 1999 to 2008 thereby to engage in a pannel data analysis crossing this ten years period.
