2014-08-012024-05-13https://scholars.lib.ntu.edu.tw/handle/123456789/650800摘要:在 1988 年,UN Convention on Contracts for the International Sale of Goods (CISG)公佈施行。在 1998 年,歐洲聯盟公布 The Principles of European Contract Law (PECL)。在2004 年,歐洲「私法統合國際組織」公布 Unidroit Principles of International Commercial Contracts (PICC)。在 2009 年歐洲民法研究會及歐盟私法研究會共同公布 Principles, Definitions and Model Rules of European Private Law: Draft Common Frame of Reference (DCFR). 在上述契約法國際規範中,自契約之成立、代理權之授與、契約之解釋、契約之內容與效果、契約之履行、債務不履行之歸責原則、債務不履行之救濟方式、契約之解消與損害賠償等,均有諸多與我國契約法不同之規定,許多新的規範,更為合理地解決當事人間的契約紛爭。我國契約法規範,如何參酌上開國際法規範,進行研討與修訂,乃促使我國契約法與時俱進的泉源。契約法國際規範提供嶄新的解決途徑,值得進行細部研究。 鑑於契約法國際規範之變革,我國契約法規定應有重新檢討之必要,避免我國契約法的現代化,落後於世界各國的進化階段。因而本計畫之目的,在於研究 CISG、PECL、PICC 及 DCFR 之規定,與我國立法、學說與實務見解比較,提出適合我國契約法現代化的方向。 本計畫以 CISG、PECL、PICC、DCFR 為研究重點,比較分析四種文件之異同,分三年說明研究重點如下: 第一年:契約之成立(包含意向書之效力、締約過失責任)、意思表示之瑕疵、代理權授與(包含直接代理與間接代理)、定型化契約之管制、契約解釋原則。 第二年:契約之履行(誠信原則)、債務不履行之一般規定、違約責任之救濟方法(包含特定給付請求權之限制、契約解消之重大事由、瑕疵治癒請求權、損害賠償之計算與減輕)。 第三年:多數當事人(包含利益第三人契約)、債權讓與、契約承擔、消滅時效。 經過本件計畫之研究,可以正確掌握契約法國際規範之發展趨勢,契約法現代化之發展軌跡,及釐清我國契約法應該精進之處。 本計畫之重要成果將為,透過連續性研討會論文及期刊論文發表,引進契約法國際規範的新典範,檢討我國契約法之困難點,提出建議改進方向,最後擬定民法總則與債編關於契約法之修正建議方案,作為日後修法及法院判決之參考。<br> Abstract: The UN Convention on Contracts for the International Sale of Goods (CISG) took effect in 1988, and the Principles of European Contract Law (PECL) was published in 1998. Then the Unidroit Principles of International Commercial Contracts (PICC) was issued in 2004, while the Principles, Definitions and Model Rules of European Private Law: Draft Common Frame of Reference (DCFR) was published in 2009. All these international contract law documents provide various rules on the conclusion of contract, the agency, the interpretation of contract, the validity of contract, the performance and non-performance of contract, termination, and damages. These new rules offer better solutions to the disputes arising from contract law. Such rules are the fountains for Taiwanese scholars to found inspirations when doing research on Taiwan law in order to revise the rules provided for in the Taiwan Civil Code. This project is aimed to analyze CISG, PECL, PICC, and DCFR in a comparative perspective, and to explore the shortcomings of the Taiwan Civil Code in light of these international contract laws. The purpose of this project is to promote the modernization of contract law under the Taiwan Civil Code since the Taiwan contract law has not been under revision for a long period of time. The three year project will focus on the issues of contract law as follows: The first year: the conclusion of contract especially for the letter of intent and the pre-contractual liability, the defects of the manifestation of intention, the authorization of representatives, the control on standardized contracts, and the interpretation of contract. The second year: the performance of contract (good faith and fair dealing), the non-performance of contract, remedies for breach of contract (including limitation on specific performance, significant breach of contract for termination, cure of work, and mitigation of damages.) The third year: plurality of parties, assignment of claims, and prescription. The project will produce some papers on those issues under consideration, presenting in domestic and international symposiums and publishing in law journals. The end result will be some suggestions for the revision of the contract law provided for in the Taiwan Civil Code so as to promote the modernization of the Taiwan contract law.Comparison between International Contract Rules and Taiwan Contract Law
