2008-08-012024-05-18https://scholars.lib.ntu.edu.tw/handle/123456789/701830摘要：本研究旨在測試企業內部治理機制運作之品質(governance quality)是否能夠對企業外部競爭策略之「效益」產生顯著影響。回顧現有文獻，測試特定策略傾向對企業表現的影響，長久以來一直是管理學界關心的重點議題之ㄧ，多數策略學者更依此結論判定特定競爭策略是否真能對企業經營績效及外部競爭力產生提振的效果；在與此議題攸關之文獻中，研究多樣化策略(diversification)一直是學者關心的重點。多樣化策略在學術研究中可加以分別區分為產品多樣化(product diversification)及市場多樣化(market diversification)，市場多樣化更與企業國際化相關。 回顧相關文獻，其中有不少關於企業多樣化策略之實證研究，然而比較其中結論卻發現迴異之處頗多，有關多角化策略對經營層面的實質效益，結論並不一致，顯示相關議題有進一步探討的必要，特別是需要在研究中加強對影響因素的控制。對於影響多樣化策略的環境因素，本研究認為公司內部治理要素應是重要關鍵；事實上公司內部治理因素對特定策略性決策所產生的效果已被證實，其中不少研究指稱內部治理品質的低落，與企業進行盲目性投資與多角化有顯著關係。為進一步探討企業多角化經營績效，加強現有文獻對該議題討論之深度，本研究希望能在研究中加入公司治理相關變數，探討對企業績效產生的影響。 <br> Abstract: This study is aimed to test how internal governance quality of firm can influence the performance of corporate competitive strategy. In the review of current literatures, the study of the strategic intensity of firm and its effect on firm performance has been an important issue in the field of strategic management for long time. By this line of researches, literatures can accordingly compare and conclude the effectiveness of specific strategy in competition. Among these literatures, the issue of “diversification” has drawn great attention. Specifically, researches usually aimed at two strategic perform of diversification – production diversification and international market diversification, and respectively test how the conduction of these strategies would benefit for the company in performance. Although there are many researches have conducted the empirically test for the effect of diversification on firm performance, their results showed distinctly. This can cause difficulty to conclude whether the diversification strategy can really benefit for company. We feel the reason for the distinction could be the lack of control on specific environmental contingency for the strategy, and the internal governance quality can be one of the most critical contingencies on this issue. In fact, corporate governance quality has been linked to specific strategic decision outcome, and diversification strategy is one of them. Specifically, the poor internal governance could achieve management to abuse its right to conduct diversification to entrench personal interest but harm for general benefit of company. To further discuss the effect of diversification strategy, we plan to additionally consider the effect of governance to see how it could interact with the strategy and impact on the performance.
