2020-01-012024-05-18https://scholars.lib.ntu.edu.tw/handle/123456789/697317摘要:獨立董事會被期望能夠發揮其諮詢及監督管理的功能。然而,大部分的文獻都聚焦於獨立董事所展現的監督功能。在這篇文章,我們旨在解釋獨立董事所提供諮詢之作用。長任期的董事能夠提供公司適當的建議,因獨立董事在其任期內累積公司特定資訊。我們研究長任期的獨立董事是否會影響公司創新,並預期有長任期獨立董事的公司會傾向於以較多的專利和引文提升創新。由以上結果可知長任期董事能為公司提供諮詢作用。<br> Abstract: Independent boards of directors are expected to play a role of advising and monitoring management. However, most literature has focused on the oversight function performed by independent directors. In this paper, we aim to shed light on the role of advising by independent directors. Long-tenured directors can provide proper advice to firms because independent directors build up firm-specific information over their tenure. We examine whether long-tenured independent directors affect firm innovation. We expect that firms with long-tenured independent directors tend to show increase in innovation measured as higher number of patents and citations.
